Terms of service
The general terms under which we provide development, hosting and support services. Last updated: August 2026.
1. These terms
These terms apply to services provided by Pearl Tech Software Solutions, registered as PTS (U) LTD. Where a signed contract, proposal or service level agreement exists for a particular project, that document takes precedence over anything written here.
2. Quotations and scope
Quotations are valid for 30 days unless stated otherwise, and are based on the scope described at the time. Work outside the agreed scope is quoted separately before it is carried out — we do not add charges without telling you first.
3. Payment
Unless otherwise agreed in writing, projects require a deposit before work begins, with the balance payable according to the milestones in the quotation. Hosting and maintenance plans are billed in advance for the period selected. Invoices are due within 14 days of issue.
4. Client responsibilities
Delivery depends on you supplying content, data, access credentials, decisions and feedback within reasonable time. Where a project stalls for more than 60 days waiting on the client, we may invoice for work completed to that point and reschedule the remainder.
5. Intellectual property
On custom development projects, ownership of the delivered source code and database transfers to you upon receipt of final payment. Our own software products (including pearlPOS, PearlSACCO, PearlSchool and LANA SMS) are licensed to you for use, not sold; the underlying source remains our property, while all data you enter remains yours and is exportable at any time. Third-party components remain subject to their own licences.
6. Warranty and defects
We correct defects in delivered work free of charge for 30 days after handover, where the defect is a failure to meet the agreed scope. This does not cover changes of requirement, faults caused by third-party changes, or issues arising from modifications made by others.
7. Hosting and uptime
We target 99% availability on our hosting services. Scheduled maintenance is notified in advance where practicable. We are not liable for outages caused by upstream providers, network failures beyond our control, or events outside our reasonable control.
8. Backups
Hosting plans include routine backups, and we test restores periodically. Clients are nonetheless advised to keep an independent copy of critical data. We cannot guarantee recovery of data that was never successfully backed up.
9. Support
Post-launch support is provided under a maintenance plan or on a time-and-materials basis. Response targets are set out in the applicable plan. Support does not include new feature development unless the plan includes change hours.
10. Confidentiality
Each party will keep the other’s confidential information private and use it only for the purposes of the engagement. We are happy to sign a separate non-disclosure agreement on request.
11. Portfolio rights
We may reference a completed project in our portfolio and marketing material unless you ask us not to. We never publish client data, credentials or internal screens without written permission.
12. Limitation of liability
To the extent permitted by law, our total liability arising out of any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including loss of profit, revenue or data, except where caused by our wilful misconduct.
13. Termination
Either party may terminate an engagement with 30 days’ written notice. Fees for work completed up to the termination date remain payable. On termination of a hosting service, we will provide a full export of your data on request.
14. Governing law
These terms are governed by the laws of the Republic of Uganda, and the courts of Uganda have exclusive jurisdiction over any dispute arising from them.
